Terms and conditions
The terms that apply when you use this website or work with us.
Last updated: October 6, 2026
These terms and conditions govern your use of this website and, unless a separate signed agreement says otherwise, the services DevEdge Solutions ("we", "us") provides to clients ("you"). By using the website or engaging us, you agree to them.
1. Using this website
- You may browse and share content from this website for your own information and business purposes.
- You must not misuse the website, including by attempting to gain unauthorised access, probing for vulnerabilities, interfering with its operation, sending spam through our forms or chat, or scraping content at scale.
- Content on this website is general information about our services. It is not professional advice and may change without notice.
- Links to third-party websites are provided for convenience; we are not responsible for their content or practices.
2. Intellectual property in the website
The website, including its design, text, graphics, code and case studies, is owned by or licensed to us. Client names, logos and trademarks shown in case studies belong to their respective owners and are used with permission.
3. Our services
- Proposals and statements of work. Each engagement is described in a written proposal or statement of work ("SOW") setting out the scope, deliverables, timeline and fees. If a signed agreement or SOW conflicts with these terms, the signed document takes priority.
- Changes. Work outside the agreed scope is handled through a written change request with its own estimate. We will not start chargeable additional work without your approval.
- Timelines. We work to agreed milestones. Timelines depend on you providing content, feedback, approvals and access on time; delays on either side move later milestones accordingly.
4. Your responsibilities
- Provide accurate information, content, brand assets and timely feedback.
- Make sure you have the rights to any content, images, data or materials you give us, and that your use of the finished work complies with applicable laws (including privacy and consumer law for your own customers).
- Keep your own accounts, passwords and third-party subscriptions (hosting, domains, plugins, platforms such as WordPress or Shopify) active and in good standing unless we have agreed to manage them.
5. Fees and payment
- Fees, payment schedule and currency are set out in your proposal or SOW. Unless stated otherwise, invoices are payable within 14 days.
- Third-party costs (for example licences, hosting, premium themes, plugins or advertising spend) are passed through at cost or paid by you directly, as agreed.
- We may pause work if invoices are overdue, after giving you written notice.
6. Ownership of deliverables
- On payment in full, you own the final deliverables created specifically for you, such as your website design, custom code and content we write for you.
- We keep ownership of our pre-existing tools, frameworks, components and know-how, and grant you a perpetual, non-exclusive licence to use them as part of your deliverables.
- Open-source software and third-party assets remain subject to their own licences.
- Unless we agree otherwise in writing, we may show the completed work in our portfolio and case studies. We will never disclose confidential information.
7. Confidentiality
Each of us will keep the other's confidential information private and use it only to perform the engagement. This does not apply to information that is public, already known to the recipient, or must be disclosed by law.
8. Data protection
Where we process personal data on your behalf, we act as your processor under a data processing agreement and follow your documented instructions. Our own handling of personal data is described in our Privacy policy.
9. Warranties and results
- We will perform our services with reasonable skill and care, in line with good industry practice.
- We will fix defects in work we built that are reported within 30 days of launch at no extra cost. After that, support is provided under a maintenance plan or at our standard rates.
- Search rankings, traffic, conversion rates and advertising performance depend on factors outside our control, such as search engine algorithms, competition and market conditions. We do not guarantee specific results.
10. Maintenance and support
Ongoing maintenance, hosting management, security monitoring and support are provided only where included in your SOW or a maintenance plan, which sets out response times and inclusions.
11. Limitation of liability
- Nothing in these terms limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.
- Neither party is liable for indirect or consequential losses, or for loss of profit, revenue, data or goodwill.
- Our total liability arising from an engagement is limited to the fees you paid us for that engagement in the 12 months before the claim.
12. Indemnity
You will indemnify us against third-party claims arising from content or materials you supplied, or from your use of the deliverables in breach of law or these terms.
13. Termination
Either party may end an engagement by written notice if the other materially breaches these terms and does not remedy the breach within 14 days. You will pay for work completed up to the termination date. Sections that by their nature should survive (such as ownership, confidentiality and liability) continue after termination.
14. Events outside our control
Neither party is responsible for delays caused by events beyond its reasonable control, such as outages of third-party platforms, natural disasters or government action.
15. Governing law and disputes
We will try to resolve any dispute through good-faith discussion first. These terms are governed by the laws of the jurisdiction in which DevEdge Solutions is registered, and its courts have jurisdiction, unless your signed agreement specifies otherwise or local consumer law gives you other rights.
16. Changes and contact
We may update these terms from time to time; the version on this page applies from its "last updated" date and does not change a signed agreement already in place. Questions? Email hello@devedgesolutions.com.
